2009 Club Rules
Welcome to The Home Depot's unique and exclusive Contractor Services Club (the
"Club"). The Home Depot created the Club to reward and recognize our premier professional
customers. Our goal is to improve the benefits you gain from shopping at The Home
Depot.
1. Club Key Tag Program
If you are a member who is not assigned an account manager in select areas, or if
you are a member in any other area (with or without an account manager), you can
participate in a Club Key Tag program. When you scan your Club key tag or card at
the point-of-purchase, you will earn one reward point for every dollar spent on
qualifying products and services. Ten additional reward points will also be awarded
each time a sales transaction of a qualifying product or service occurs and a key
tag is scanned (maximum of 150 points per week). This way, more points can be accumulated
regardless of the amount of your purchase. You can redeem your points for rewards
of your choice through the dedicated Club website ("Website")

2. Gift Card Bonus Program
Members in select markets who are assigned an account manager will participate in
a Club Gift Card Bonus program and receive an increased level of gift card rewards
commensurate with all qualifying purchases made at The Home Depot each quarter.
Members of this program will not be eligible to participate in the separate Club
Key Tag program described above. Members of this program who were previous participants
in the Club Key Tag program in 2009 will have existing key tag reward points for
2009 converted to gift card bonuses.
The Home Depot is committed to serving you and we thank you for your business. Through
the Club, we hope to demonstrate our appreciation by providing you with something
unique and valuable.
MEMBERSHIP BENEFITS
There are many great benefits to being a member of the Club. The first great benefit
is that there is no annual membership fee.
1. Club Key Tag Program Benefits
For the Club Key Tag program, members can redeem points for rewards listed on the
Website. Such rewards include:

A. Travel
The Club Key Tag program offers travel packages to which the following terms apply.
Due to variable origins and destinations, airline availability and scheduling, class
of service limits and availability and time of Club member booking, neither The
Home Depot nor its agents nor representatives make any guarantees that the maximum
travel value of points redeemed will cover the entire cost of your travel needs.
All airline tickets issued by the Contractor Services Club Redemption Center are
final. Changes to the travel itinerary, lost tickets, cancellation of flights, or
failure to utilize issued tickets must be negotiated by the Club participant with
the airline directly according to the airline's procedures, policies and additional
charges. Changes to any reservation may result in the airline charging a fee per
ticket. Fee will vary. Club members will be responsible for any and all change fees
or charges.
Additional costs/fees incurred are the Club member's responsibility. These cost/fees
may include but are not limited to any cost above and beyond the Reward value, shipping
and handling, requesting paper ticket when e-ticket is available, any changes or
cancellation to the itinerary, any fare increase resulting from a change, tax liability,
baggage charges, departure taxes, other charges that may have been assessed by government
entities, and for tickets purchased outside the Club.
Neither The Home Depot nor its agents or representatives are responsible for airline
performance. All reservations are subject to the conditions of carriage, supply
or business of the service provider, which include exclusions and limitations of
liability.

B. Entertainment and Sports Event Tickets
Tickets and Packages available for entertainment and sporting events are listed
on this Website along with the date and location of such events. Rewards can be
redeemed for tickets to entertainment and sporting events based upon the Reward
point value indicated for redemption and any other restriction noted adjacent to
each event listing. Points can only be redeemed by following the applicable directions
on this Website.
The quantity of available tickets is viewable on this Website at time you redeem
your Reward. Event tickets are limited to the amount noted as available at the time
your order is placed.
A Package and/or Tickets will be mailed within seven (7) business days of ordering
to the Club member's address on the Website profile record or such other delivery
address requested by the Club member when redeeming such Reward.
All Ticket redemptions are final after the Ticket to a specific event
has been selected and secured. We are unable to process refunds, exchanges or cancellations.
However, if the event is postponed, tickets will be honored for the rescheduled
date.
C. Merchandise
A variety of Rewards are available via point redemption on the Website. Products
available include, but are not limited to the following categories: video, music,
DVDs, books, computer games, video games, software, outdoor living, tools & hardware,
kitchen apparel, gourmet food, health & personal care jewelry & accessories computers,
and electronic goods.
Merchandise Return Policies & Process
You may return most new, unopened items within thirty (30) days of delivery for
a full refund of points. In the event a return is a result of an error of the Club
or a Fulfillment Provider (i.e., you received an incorrect or defective item, etc.),
the return shipping costs will be covered by the party responsible for error.
Items that are opened or returned more than thirty (30) days after delivery will
receive a partial refund.
D. The Home Depot Gift Cards
Club points can be redeemed for The Home Depot gift cards. These gift cards will
be delivered within seven (7) to fourteen (14) days after ordered via point redemption
on the Website.
Home Depot gift cards can be used as a form of tender at any U.S. The Home Depot
store and EXPO Design Center® location. These gift cards cannot be exchanged
for cash, credit or check and are subject to the terms on the back of each.
The Club relinquishes responsibility of the full value of gift cards at point of
shipping. In the event gift cards are lost or stolen, The Home Depot reserves the
right to cancel the card upon notification and reissue a new gift card to Member
in the value remaining on the card in question at point of cancellation.
E. Sweepstakes
From time to time the Club will conduct sweepstakes and other promotions ("Promotions")
for Club members. All such Promotions shall be governed by the official rules of
each Promotion. Entry into a Promotion will constitute your acceptance of the applicable
official rules.
F. Coupons and Discounts
As a Club member, during the Program Period, The Home Depot will send you exclusive
coupons for product purchases. Additionally, during the Program Period, Club members
will receive an instant ten percent (10%) discount off The Home Depot's Tool
Rental Center rates. When you need equipment and want quality, service and value
for your money, The Home Depot Tool Rental Center offers a wide selection of top-quality,
name-brand tools. The 10% discount applies to Tool Rental Center Rates only and
cannot be combined with any other discount or offer and is not valid for merchandise
purchases and truck rental. Your Contractor Services Club key tag must be presented
at the time of rental to receive this discount. The Tool Rental Program is subject
to the terms and conditions contained within the Tool Rental Guide.

2. Gift Card Bonus Program Benefits
Members of the Gift Card Bonus program will receive gift card bonuses at regular
intervals throughout the year, for qualifying purchases. These gift cards will be
delivered within seven (7) to fourteen (14) days after qualifying sales are tabulated.
Home Depot Gift Cards can be used as a form of tender at any U.S. The Home Depot
retail store and EXPO Design Center ® location. These gift cards cannot be exchanged
for cash, credit or check and are subject to the terms on the back of each.

shipping. In the event gift cards are lost or stolen, The Home Depot reserves the

GENERAL CLUB INFORMATION
A. Club Dates
The 2009 Club Program Period is effective from January 1, 2009 to December 31, 2010
("Program Period"). Although The Home Depot may extend the program beyond the Program
Period, The Home Depot reserves the right to change these Club Rules at any time
with or without prior notice. Any such changes will be shown in these Club Rules
on this Website and will be effective immediately unless stated otherwise. Any changes
to any printed version of the Club Rules will be contained in the next reprinting
of that printed version. You are responsible for remaining knowledgeable about the
Club's Rules. Club Key Tag reward points earned during the Program Period expire
February 1, 2010 at 12:01am ET.
B. Eligibility and Registration
The Contractor Services Club is only available to premier professional customers
selected by The Home Depot for membership. Premier professional customers must:
(1) be a contractor licensed pursuant to applicable state law (where required) in
the state(s) where such contractor conducts business, or an employee of such contractor;
and (2) maintain an annual U.S. The Home Depot or EXPO Design Center store spend
of at least $25,000 annually; or (3) otherwise be selected by The Home Depot as
a program participant. Members dropped from the Club Key Tag program stop accruing
reward points at the time they are dropped, and only begin accruing points when
subsequently eligible for the Club Key Tag program. Members dropped from the Gift
Card Bonus program stop earning credit toward gift card rewards when dropped, and
only begin earning credit toward gift card rewards when subsequently eligible for
the Gift Card Bonus program. Licensed contractors include, general contractors,
subcontractors, custom home builders, plumbers, electricians, painters, maintenance
repair technicians, repair remodelers, landscapers, carpet and tile technicians,
and professionals engaged primarily in the performance of construction services.
Employees of The Home Depot and their immediate family members are not eligible
to participate in this program. Additionally, governmental entities cannot become
a member of the Club and/or accrue Club Key Tag reward points or credit toward gift
card rewards under the Gift Card Bonus program.
To register for the Club Key Tag Program, professional customers must:
- Complete the Club enrollment form and fax it to (866) 333-3563;
- Complete the log-in process on this Website; and
- Read and agree to abide by these Club Rules located on this Website.
Professional customers registering for the Gift Card Bonus program will be contacted
by their Account Manager with information on how to register spending methods on
a secure website, to begin earning credit towards gift card rewards based on qualifying
purchases made with registered spending methods.
Providing false information or omission of any information requested on the Club
enrollment or redemption form may be grounds for denial of enrollment and/or accrual
of Reward points in the Club member's account.
C. Qualifying Purchases
During the Program Period, Club Key Tag members may earn Reward points points and
Gift Card Bonus Program members may earn credit towards gift card rewards for net
qualifying purchases (gross qualifying purchases less any returns). Qualifying purchases
include purchases made only at The Home Depot and EXPO Design Center. Qualifying
purchases do not include purchases of gift cards or purchases at other subsidiaries
of The Home Depot. Although purchases of gift cards do not qualify, Club Key Tag
members will receive points and Gift Card Bonus program members will receive credit
towards gift card rewards when products and/or services are purchased using gift
cards issued by The Home Depot as a form of payment.
Qualifying products and services are subject to change from time to time. Please
visit this Website periodically for eligible product and services changes.
D. Receiving Rewards
1. Club Key Tag Program Rewards
In order to receive reward points, Club Key Tag members must present their key tag
number to The Home Depot associate prior to completing a sales transaction in the
following manner:
- In-store purchases – key tags must be scanned by The Home Depot associate at the
cash register or scanned by customer at Self Checkout.
- Telephone purchases – key tag numbers must be provided to The Home Depot associate
when placing an order.
- Website orders paid for and redeemed in-store - key tags must be scanned by The
Home Depot associate at the cash register.
Online purchases of qualifying products or services do not qualify for Reward points
under this program. Except as specifically set forth below, Reward points are not
credited on a retro-active basis. Reward points will be posted within forty-five (45)
days of purchase.
Reward points earned during the Program Period will be credited to the 2009 Contractor
Services Club Program. Points earned during the aforementioned timeframe will expire
February 1, 2010 at 12:01am ET, if not used for redemption by January 31, 2010.
Reward points cannot be automatically credited on a retro-active basis. If a Club
member would like Reward credit for a sales transaction which occurred on or before
December 13, 2009 such Club member must, within forty-five (45) days of the transaction,
do the following:
- Call Contractor Services Club Customer Services ("Customer Services") at (866) 333-3551
and speak with a Customer Services representative; and
- Fax copy of receipt and copy of back of key tag (including bar code and number)
to (866) 333-3563. The fax cover sheet must be addressed to the specific Customer
Services representative with whom the Club member spoke with during call regarding
respective point credit request.
For all sales transactions which are completed, a member must call Customer Service
and fax receipt as outlined above before or December 14 through December 31, 2009
on January 11, 2010, to receive Reward credit for such sales transaction. Retro-active
points for 2009 transactions for which receipts are faxed before or on January 11,
2010, will appear on the Website and be available for redemption no later than January
29, 2010.
Notwithstanding the preceding, in no event will credit be given for any sales transaction
completed prior to the date the member's Club enrollment form was received by
the Club Customer Service.
Reward points are awarded as follows:
- Earn one (1) point for each dollar spent in qualifying products or services when
using the key tag or Club membership number; and
- Earn ten (10) points for every transaction (maximum of 150 points per week) when
using the key tag or Club membership number.
2. Gift Card Bonus Program Rewards
In order to receive credit toward gift card rewards, Gift Card Bonus program members
register their spending methods on a secure website provided by their account manager.
Subsequent purchases made at The Home Depot or EXPO Design Center using those spending
methods will be tallied and gift cards will be issued quarterly to customers in
accordance with total spending using registered spending methods.
Online purchases of qualifying products or services do not qualify for gift card
rewards under this program. Except as specifically set forth below, gift card rewards
are not credited on a retro-active basis.
Gift card rewards earned during the Program Period will be credited to the 2009
Contractor Services Club Program. Gift card rewards cannot be automatically credited
on a retro-active basis, except for a one-time initial conversion of existing key
tag rewards points for members selected to participate in the Gift Card Bonus Program.
Notwithstanding the preceding, in no event will gift card rewards be given for any
sales transaction completed prior to the date the member's registration of spending
methods on the secure website provided by the account manager.
Gift card bonus rewards are awarded for each dollar spent in qualifying products
or services made with registered spending methods at The Home Depot or EXPO Design
Center.
E. Returns
Reward points or gift card rewards will be forfeited and deducted from a Club member's
account for returned merchandise within fourteen (14) days of the return. If there
is a zero or insufficient point balance, or a zero or insufficient gift card credit
in the Club account at the time of the return the Club account will enter a negative
status. The Home Depot Contractor Services Club reserves the right to cancel any
previously issued reward from an account with a negative point balance.
F. Redeeming Reward Points
1. Club Key Tag Program Reward Redemption
Club Key Tag members can redeem points by logging into this Website and ordering
the desired Reward using the points available in their account. Reward points can
only be redeemed for items found in the online Club catalog. The full point balance
required for the selected Reward must be available in your account at the time your
order is placed. The quantity of each Reward item available is viewable on this
Website when placing an order. Reward items are limited to the amount noted as available
at the date and time of point redemption.
Reward points earned during the Program Period can be used for redemption through
January 31, 2010. Points earned during the aforementioned timeframe will expire
February 1, 2010 at 12:01am ET, if not used for redemption by January 31, 2010.
Reward points may not be transferred and must be redeemed by the primary Club member.
Once we receive your redemption request the Club will review your account to verify
that you have sufficient points to redeem the Reward requested and that such points
are valid. If the Reward is fulfilled and the Club later finds that you did not
have sufficient points for that Reward you will forfeit future point earnings until
you accrue additional points sufficient to meet the deficit.
Point values assigned to any Reward are subject to change from time to time without
prior notice and Rewards may be substituted at any time. Should a Reward be discontinued,
it will be replaced with a Reward of equal or greater value or, if no suitable substitute
is available, you will be advised to make an alternate selection.
Neither The Home Depot nor its agents or representatives make any representations
or warranties, express or implied, and each disclaims any and all liability as to
the condition, quality, merchantability or fitness for a particular purpose of products
and/or services provided by or through this program.
Club Key Tag members may return certain awards for a full point refund, if the award
is unused and returned completely (tickets and/or certificate documentation) 20
business days prior to the award start date to:

ATTENTION: Award Refunds
Members must be sure to include their name, address and a copy of the back of their
Keytag in the return package. Points will not be refunded until the Contractor Services
Club has receipt of the award. Awards received within 0-19 businesses days of the
award start date will be forfeited and the member will not be refunded Club points.
Club Members are responsible for ensuring accurate and timely return of the Reward.
The Contractor Services Club is not responsible for lost, late, misdirected, mutilated,
incomplete or illegible returns.
Vacation packages are not refundable.
2. Gift Card Bonus Program Reward Redemption
Members of the Gift Card Bonus program will receive The Home Depot Gift Cards commensurate
with qualifying purchases, on a quarterly basis.
G. Delivery of Rewards
A street address and daytime phone contact number are required to process an order.
Shipments cannot be made to a post office box or outside the United States and eligible
territories.
H. Privacy
When you enroll in the Club we will collect your name, address, phone number and
e-mail address. We use this information to administer your participation in the
Club. We want to assure you that The Home Depot is dedicated to protecting your

I. Taxation and other Fees
All federal, state and local income taxes, insurance, licensing, registration, liabilities,
surcharges, title fees and any other fees connected to Rewards or the program are
the sole responsibility of the Club Member. Winners of any Promotion may need to
complete a Form W-9 and The Home Depot will report the value of the prize on a Form
1099 at the end of the year.
J. Governing Law and Dispute Resolution
Any dispute regarding the Club is subject to Arbitration. This Arbitration section
sets forth the circumstances and procedures under which Claims (as defined below)
may be arbitrated instead of litigated in court. The term "Claim" means any claim,
dispute, or controversy between you and The Home Depot arising from or relating
to your participation in the Club, these Club Rules, any Reward and any prior agreement
that you may have had with The Home Depot or the relationships resulting from your
participation in the Club. Further, the term "Claim" includes claims of every kind
and nature, including but not limited to initial claims, counterclaims, cross-claims,
third-party claims, and claims based upon contract, tort, fraud, and other intentional
torts, statute, regulations, common law, and equity and is to be given the broadest
possible meaning and includes, by way of example and without limitation, any claim,
dispute, or controversy that arises from or relates to (a) the Club account or any
point balances on the Club account, (b) advertisements, promotions, or oral or written
statements related to the Club or any Reward, or (c) the redemption for and use
of any Reward. The Home Depot may elect not to use arbitration under this Arbitration
section for any individual Claim that you properly file and pursue in a small claims
court in your state or municipality as long as the Claim is pending only in that
court.
Except as otherwise set forth herein, any Claim shall be resolved by arbitration
pursuant to this Arbitration section and the code of procedure of the national arbitration
organization to which the Claim is referred in effect at the time the Claim is filed.
Claims shall be referred to American Arbitration Association ("AAA") as selected
by the party electing to use arbitration. For a copy of the procedure to file a
Claim, or for other information about this organization, contact them as follows:

IF ARBITRATION IS CHOSEN BY ANY PARTY WITH RESPECT TO A CLAIM, YOU WILL NOT HAVE
THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM, OR
TO ENGAGE IN PRE-ARBITRATION DISCOVERY EXCEPT AS PROVIDED FOR IN THE CODE OF PROCEDURES
OF THE AAA. FURTHER, YOU WILL NOT HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE
CAPACITY OR AS A MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT
TO ARBITRATION. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR'S DECISION WILL BE
FINAL AND BINDING. NOTE THAT OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT
MAY ALSO NOT BE AVAILABLE IN ARBITRATION.
This Arbitration section shall survive termination of the Club or your participation
in it. If any portion of this Arbitration section is deemed invalid or unenforceable
under any law or statute, it shall not invalidate the remaining portions of this
Arbitration section, these Terms & Conditions, or any prior agreement you may have
had with us, each of which shall be enforceable regardless of such invalidity. In
the event of a conflict or inconsistency between an arbitration organization's
code of procedures and this Arbitration section, this Arbitration section shall
govern.
K. Additional Club Rules
Club Key Tag reward points have no cash value, cannot be exchanged for cash or credit,
may not be used with any other offer, promotion or discount, cannot be combined
with cash to obtain a Reward and cannot be earned from or transferred to any other
account or rewards program.
- Keytag Club members have no ownership interest in accrued points and accrued points
do not constitute property of the members. Use of the word "earn" in marketing materials
in relation to Contractor Services Club points shall mean "collect" and shall not
infer that the points have any value until they are presented for redemption. Points
may not be purchased or sold and are not transferable except as otherwise stated
herein.
- Rewards will not be replaced if lost, stolen, destroyed or expired.
- This program and its Rewards are not available and are void where prohibited by
federal, state or local law or regulation.
- Despite our best efforts to ensure accuracy, printing errors occasionally occur.
The Home Depot reserves the right to correct such errors at any time even if it
affects pending reward redemption.
- By using your key tag and key tag number to make purchases at The Home Depot you
accept all terms and conditions in these Club Rules and release The Home Depot and
hold The Home Depot harmless from any claim, liability or damage relating to the
Club or use of any Reward you request.
- Fraud or abuse relating to the accrual of points or any redemption will result in
your forfeiture of all accrued points, as well as termination of your Club membership.
The Home Depot reserves the right to pursue legal action in the event of fraud,
misrepresentation, abuse or violation of these Club Rules.
- Rewards will not be credited to your account unless and until you have completed
the registration requirements set forth herein.
- Rewards cannot be purchased.
- Other terms and conditions may apply to the program. This Website will be updated
from time to time with such terms and conditions.
- Additional terms and conditions may apply to each Reward.
- The Home Depot reserves the right to amend or revise the Club length, eligibility
requirements, eligible brands and products, point awards and scope of the Club at
any time.
- Neither the Club nor any Reward offered by the Club creates, constitutes or gives
rise to any legal or contractual rights by Club members against the Home Depot.
- The Home Depot is not affiliated with any of the companies providing Rewards.
- THE HOME DEPOT MAKES NO EXPRESS OR IMPLIED REPRESENTATION OF WARRANTY
AS TO ANY REWARD AND WILL NOT BE LIABLE FOR INJURY, DAMAGE, LOSS OR EXPENSE RESULTING
FROM THE USE OR ACCEPTANCE OF A REWARD.
